Please read these Terms and Conditions ("Agreement") govern your use and distribution of the digital product covered by Master Resell Rights ("Product") before accessing or using the Master Resell Rights Digital Product. By accessing, downloading, or using the Product, you acknowledge and agree to be bound by the terms and conditions outlined in this Agreement.

Grant of License:

1.1. Subject to the terms and conditions of this Agreement, Licensor grants you ("Licensee," "You," or "Your") a non-exclusive, non-transferable license to use, modify, and distribute the Product, along with its accompanying documentation, solely for commercial purposes and resale to end-users ("End Users"). 1.2. You may not sublicense, assign, or transfer the Product to any third party without prior written consent from Licensor.

Ownership and Copyright:

2.1. The Product is owned by Rachel Kate Creative and is protected by copyright laws and international treaties. You acknowledge that you do not hold copyright for the Product but have ownership rights granted by Licensor. 2.2. You agree not to take away, edit, modify, or alter the course material provided in the Product, except for adding additional content if desired.

Master Resell Rights:

3.1. You are granted master resell rights for the Product, allowing you to sell the Product to End Users. 3.2. Once purchased, the End User is bound by the terms and conditions set forth in this Agreement and is not permitted to sell the Product for a price lower than the existing price.

Pricing:

4.1. The pricing for the Product is discussed in the certificate accompanying the Product. You agree to adhere to the pricing guidelines provided in the certificate and not sell the Product for any less than the established price.

Limitations of Use:

5.1 You may not sell or transfer the Master Resell Rights Digital Product as a stand-alone product. It must be sold or bundled with other products or services. 5.2 You may not sell or transfer the Master Resell Rights Product on auction sites, such as eBay or similar platforms. 5.3 You may not provide the Master Resell Rights Products for free as part of a membership site without obtaining written permission from the original creator. 5.4 You may not claim ownership or authorship of the Master Resell Rights Product or any of its components. 5.5 You may not use unethical or illegal marketing practices to promote the Master Resell Rights Product.

Warranty and Disclaimer:

6.1. The Product is provided on an "as-is" basis, without any warranties or representations of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. 6.2. Creating With Jess does not warrant that the Product will be error-free, uninterrupted, or free from viruses or other harmful components. 6.3. You assume all risks associated with the use and distribution of the Product. Creating With Jess shall not be liable for any damages arising out of or in connection with the use or inability to use the Product.

Indemnification:

7.1. You agree to indemnify, defend, and hold harmless Rachel Hockey, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees, arising out of or in connection with your use or distribution of the Product or any breach of this Agreement.

Termination:

8.1. This Agreement is effective until terminated. The original creator may terminate this Agreement immediately, without notice, if you breach any provision of this Agreement. 8.2. Upon termination, you must immediately cease all use and distribution of the Product and destroy all downloads of the Master Resell Rights Product.

Modifications:

9.1. The original creators reserve the right to modify or amend these Terms and Conditions at any time. Any changes to the Agreement will be effective immediately upon posting the revised version on the website where the Master Resell Rights product was purchased. It is your responsibility to review this Agreement periodically for any updates and changes.

Governing Law:

This Agreement shall be governed by and construed in accordance with the laws, without regard to its conflict of law principles.

Entire Agreement:

This Agreement constitutes the entire agreement between you and the original creator regarding the Master Resell Rights product and supersedes all prior agreements and understandings, whether written or oral.

By accessing, using or distributing the Master Resell Right Product, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of this Agreement, you must refrain from accessing, using and distributing the Master Resell Rights Product.
